Terms of Service

1. Who we are

PrediSportsHQ ("we", "us") provides hosted score-prediction league software. These terms govern the agreement between us and the organisation or individual who orders a site ("you", "the customer"). They do not govern the relationship between you and the people who play in your league — that is yours.

2. What the service is

We host a prediction-league website for you. Depending on the tier you order, that includes your branding, your address, automatic fixture and result data, standings, mini-leagues, messaging and notifications. The features listed on our pricing page at the time you order are what you are buying.

We may add, change or retire features. Where a change materially reduces what you ordered within a paid season, tell us and we will either put it right or refund the unused part of the season.

3. Setting up your site

We set your site up for you. You provide what we need — your name, branding assets, and the competition you want to follow — and you confirm you have the right to use anything you send us. Setup times quoted on the site are estimates, not commitments.

4. Money, and what we will not do

We sell software. We never handle entry fees, prize money, stakes or payouts, and no site we host collects a payment from a player. There is no facility in the product to do so and we will not add one for you.

If you choose to arrange anything of that kind among your own members, it happens entirely outside our service and is entirely your responsibility — including any licensing, registration or other legal obligation it creates for you. We are not a party to it, we take no share of it, and you must not describe our software as providing it. We may suspend or end a site that does.

5. Your content and your branding

Your logo, colours, text and the content your members create remain yours. You grant us only the permission we need to host and display them as part of running your site.

You are responsible for having the rights to what you upload. That includes club crests, competition logos and sponsors' marks — many of which are licensed, and none of which we can clear on your behalf.

6. Acceptable use

You agree not to use the service to:

• break the law, or help anyone else to;
• host content that is unlawful, harassing, or infringes someone else's rights;
• attempt to gain access to other customers' sites or data;
• resell or sublicense the service without our written agreement.

You are responsible for how your members behave on your site, and for moderating it. We can suspend a site that breaches this clause, and will tell you why.

7. Availability

We aim to keep your site up and working, and we take backups. We are a small operation and we do not offer a guaranteed uptime figure or a formal service level. Where something breaks we will fix it as quickly as we reasonably can.

Fixture and result data comes from third-party providers. We pass on what they publish. We are not responsible for their errors or outages, though we will correct our copy once we know.

8. Term, payment and renewal

Paid tiers are priced per season and invoiced in advance. Prices exclude VAT where it applies. A season runs to the end of the competition it follows.

Your site does not renew automatically. We will contact you before the next season and you decide whether to continue. If you do not, your site is taken down and your data handled as set out in clause 10.

If we change our prices, the new price applies from your next season, never mid-season.

9. Ending the agreement

You may stop using the service at any time. Paid seasons are not refundable once the season has started, except where clause 2 applies or where we are at fault.

We may end the agreement if you materially breach these terms and do not put it right within 14 days of us asking, or immediately where clause 4 or 6 is breached seriously.

10. Your data when you leave

Ask us within 30 days of your site closing and we will export your league's data to you in a readable format at no charge. After 90 days we delete it. Our privacy policy sets out how personal data is handled throughout.

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, our total liability to you in connection with the service is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for loss of profit, loss of goodwill, or indirect or consequential loss.

The service is provided for recreational use. It is not warranted to be error-free, and you should not rely on it for anything that matters financially.

12. Changes to these terms

We may update these terms. If a change materially affects you we will tell you by email before it takes effect, and it will not apply to a season you have already paid for.

13. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
